Terms of Service
Regulations on the rights and obligations of customers and website design service providers. Please read carefully before using our services.

1. Definitions
Service Provider
Hoang Trung Digital is the provider of website design, development, and maintenance services.
Client
Any individual or organization using the services of Hoang Trung Digital.
Services
Includes interface design, feature development, SEO optimization, hosting, domain, maintenance, and technical support.
Contract
A written agreement between the Service Provider and the Client regarding the scope of services, timeline, cost, and other terms.
2. Scope of Services
Services Provided
We provide website design, development, and maintenance services as requested by the client. Services may include: UI/UX design, feature development, SEO optimization, hosting and domain setup, and technical support.
Service Details
Specific details about the scope of services, timeline, number of designs, revisions, and technical requirements will be explicitly defined in the Service Contract or Service Proposal signed by both parties.
Quality Commitment
We commit to delivering services professionally, on time, and meeting the agreed technical requirements. However, we reserve the right to decline requests that exceed the agreed scope or violate applicable laws.
3. Client Rights & Obligations
Client Rights
Clients have the right to: Request the Service Provider to fulfill services per the contract; Receive project progress updates; Request revisions within the agreed scope; Receive full source code and documentation upon complete payment; Receive technical support during the warranty period.
Client Obligations
Clients are obligated to: Provide complete and accurate information and materials required for the project; Make payments on time per agreement; Respond to and confirm project milestones within a reasonable timeframe; Not use services for illegal purposes; Comply with copyright and intellectual property regulations.
4. Service Provider Rights & Obligations
Service Provider Rights
The Service Provider has the right to: Request clients to provide necessary information and materials; Suspend or cancel services if the client breaches the contract; Decline requests outside the agreed scope; Use the project as portfolio (unless there is a confidentiality agreement); Charge additional fees for out-of-scope requests.
Service Provider Obligations
The Service Provider is obligated to: Deliver services on time and at the committed quality; Maintain confidentiality of client information; Provide technical support during the warranty period; Hand over full source code and documentation; Comply with applicable laws on IT services.
5. Payment
Payment Methods
Payment is made via bank transfer or cash. We provide VAT invoices upon request.
Payment Schedule
Payment is typically made in 3 installments: 40% upon contract signing, 40% upon design completion, 20% upon website delivery. Specific schedule will be defined in the contract.
Late Payment
If the client is more than 7 days late from the due date, the Service Provider reserves the right to suspend services until full payment is received.
Refunds
Refunds are only considered if the Service Provider is unable to complete the service as committed. The refund amount will be calculated based on the work already completed.
6. Intellectual Property
Source Code Ownership
After full payment by the client, the client owns the entire source code and website content (except components using third-party licenses).
Design Copyright
Interface design copyright belongs to the client upon full payment. However, the Service Provider retains the right to use the project as portfolio.
Libraries & Frameworks
Open-source libraries, frameworks, and plugins used in the project remain subject to their respective licenses.
Client Content
The client retains full ownership of content, images, logos, and documents provided by the client.
7. Confidentiality
Confidentiality Commitment
We commit to strictly maintaining the confidentiality of all client information including: business information, customer data, financial information, business strategies, and other sensitive information.
Use of Information
Client information is only used for the purpose of service delivery and will not be shared with third parties without the client's consent or as required by law.
Technical Security
We apply technical security measures to protect data: data encryption, access control, regular backups, and compliance with international security standards.
8. Warranty & Support
Warranty Period
Warranty period ranges from 6–24 months depending on the service package, calculated from the date of official website handover.
Warranty Scope
Warranty covers: technical errors, UI errors, feature errors arising from the original source code. Not covered: errors due to client self-editing, errors from non-recommended plugin/software installations, adding new features.
Technical Support
24/7 technical support via email, phone, and ticket system. Response time: 4–24 hours depending on warranty package.
9. Limitation of Liability
Service Provider Liability
The Service Provider is responsible for the quality of services within the agreed scope. Total compensation (if any) shall not exceed the total contract value.
Disclaimer
The Service Provider is not liable for: Indirect damages, loss of revenue, data loss due to third-party failures (hosting, domain, plugins); Service disruptions due to force majeure events; Content violating laws provided by the client.
Force Majeure
Force majeure events include: natural disasters, war, pandemics, global system failures, policy/law changes. In such cases, both parties are exempted from liability.
10. Contract Termination
Termination by Client
The client may terminate the contract at any time with 7 days' prior notice. The client must pay for completed work and will not receive refunds for amounts already paid.
Termination by Service Provider
The Service Provider may terminate the contract if: The client materially breaches the contract; The client is more than 30 days late on payment; The client requests services that violate applicable laws.
Post-Termination Handling
After contract termination: The client pays for completed work; The Service Provider delivers completed items (if paid); Confidentiality obligations remain in effect.
11. Dispute Resolution
Negotiation
Any disputes arising will be resolved through negotiation and mediation between both parties in good faith and cooperation.
Arbitration/Court
If disputes cannot be resolved through negotiation, they will be submitted to competent arbitration or courts in Ho Chi Minh City under Vietnamese law.
12. General Provisions
Effective Date
These terms take effect from the date the client signs the contract or uses our services.
Amendments
We reserve the right to amend these terms at any time. Changes will be notified at least 30 days in advance and will apply to new contracts.
Governing Law
These terms are governed and interpreted under Vietnamese law.
Language
These terms are drafted in Vietnamese. In the event of a translation into another language, the Vietnamese version shall prevail.
Important Notice
By using our services, you agree to all the terms and conditions stated above. If you do not agree with any term, please do not use our services.
